CafeLand - Ngân hàng TMCP Đông Nam Á (SeABank) vừa công bố tờ trình xin ý kiến cổ đông về việc phát hành tối đa 400 triệu USD trái phiếu ra thị trường quốc tế.

Theo đó, SeABank dự kiến phát hành tối đa 400 triệu USD trái phiếu quốc tế loại trái phiếu không chuyển đổi, không có tài sản đảm bảo và không kèm theo chứng quyền. Mệnh giá trái phiếu là 1.000 USD hoặc bội số của 1.000 USD hoặc mệnh giá khác được xác định phù hợp với tập quán thị trường trái phiếu quốc tế.

Giá chào bán dự kiến khoảng 100% mệnh giá. Kỳ hạn trái phiếu tối đa đến 5 năm, do Tổng Giám đốc quyết định tại thời điểm phát hành. 

Lãi suất của trái phiếu được xác định cho từng đợt phát hành là lãi suất cố định hoặc lãi suất thả nổi hoặc kết hợp cả 2.

Thời gian phát hành dự kiến trong năm 2019 hoặc thời gian cụ thể do HĐQT quyết định. Số đợt phát hành dự kiến cũng sẽ tùy theo tình hình thị trường tại từng thời điểm.

SeABank cho biết, hiện Ngân hàng chưa thể đáp ứng hết nhu cầu vay vốn bằng ngoại tệ của khách hàng do những hạn chế từ những quy định của Ngân hàng Nhà nước (NHNN) về huy động vốn ngoại tệ. Nguồn vốn huy động bằng ngoại tệ từ khách hàng trong nước chủ yếu là nguồn vốn ngắn hạn, không ổn định do NHNN hạn chế nắm giữ USD thông qua trần lãi suất huy động USD là 0%.

“Vì vậy, việc phát hành trái phiếu quốc tế bằng ngoại tệ sẽ giúp SeABank cải thiện cơ cấu kỳ hạn giữa tài sản nợ và tài sản có tốt hơn, giảm thiểu rủi ro kỳ hạn, lãi suất, đồng thời nâng cao hiệu quả sử dụng vốn”, tờ trình cho biết.
